Terms of Service

1. Definitions

• "Platform" refers to the ordercode software, website, and all related services.
• "Merchant" refers to any restaurant, food service business, or individual using the Platform to offer their products and services.
• "Customer" refers to end-users who place orders through a Merchant's storefront.
• "Subscription" refers to the paid service plan selected by the Merchant.

2. Account Registration

To use our Platform, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3. Services

ordercode provides a software platform for restaurant online ordering, menu management, delivery zone configuration, analytics, and related services. The specific features available depend on your subscription plan.

4. Subscription & Payment

• Subscriptions are billed monthly or annually as selected at signup.
• All prices are in EUR and exclusive of applicable taxes unless stated otherwise.
• Payment is processed by our payment provider (Stripe). You agree to their terms of service.
• Failed payments may result in service suspension after a grace period of 7 days.
• You may upgrade or downgrade your plan at any time. Changes take effect at the next billing cycle.

5. Cancellation & Refunds

You may cancel your subscription at any time through your account dashboard. Your access continues until the end of the current billing period. We do not offer refunds for partial billing periods. After cancellation, you may export your data within 30 days.

6. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose.
• Upload content that infringes on intellectual property rights.
• Attempt to gain unauthorized access to other accounts or systems.
• Interfere with the Platform's operation or security.
• Resell access to the Platform without an authorized reseller agreement.
• Use automated tools to scrape or extract data from the Platform.

7. Content & Intellectual Property

You retain ownership of all content you upload to the Platform (menus, images, descriptions). By uploading content, you grant ordercode a non-exclusive license to display and distribute your content as necessary to provide the services. The Platform software, design, and documentation remain the intellectual property of ordercode GmbH.

8. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the GDPR. As a data processor for Customer data, we provide a Data Processing Agreement (DPA) upon request.

9. Limitation of Liability

To the maximum extent permitted by law, ordercode GmbH shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Our total liability for any claims arising from or relating to these Terms shall not exceed the amounts paid by you in the 12 months preceding the claim.

10. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. Planned maintenance will be announced in advance. We are not liable for downtime caused by factors outside our control.

11. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the Platform at least 30 days before they take effect. Continued use of the Platform after changes constitutes acceptance.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of Austria. Any disputes shall be resolved by the competent courts in Vienna, Austria. For consumers within the EU, mandatory consumer protection laws of your country of residence apply.

13. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
